These Terms of Service ("Terms") govern your use of services provided by Gateway Digital Management ("GDM," "we," "our," or "us"), including our website design, hosting, and digital marketing services. By subscribing to our services or signing a Master Services Agreement, you agree to these Terms.
1. The "Build First" Guarantee
GDM agrees to design, build, and launch a custom website for the Client at zero upfront cost. The Client incurs no financial obligation for the initial design, development, or labor associated with the creation of the website.
2. Intellectual Property & Ownership
GDM retains full ownership of the website's code, structure, design framework, and hosting environment. The Client retains full ownership of their pre-existing brand assets, including their specific logos, business name, and provided photographic content.
The Client is purchasing a monthly license to utilize the GDM-built website — not purchasing the digital asset outright. This license is active only while the Client's subscription is current.
3. Subscription & Billing
Upon approval of the website, the Client agrees to a monthly recurring subscription fee based on their selected plan:
- Solo Operator — $79/month
- Small Business Owner — $149/month
- Growth Builder — $299/month
- Payments are processed automatically on a monthly basis via Stripe.
- There is no setup or onboarding fee.
- A receipt is emailed automatically after each charge.
- If a payment fails, GDM will provide a 7-day grace period. If the account is not brought current after 7 days, GDM reserves the right to temporarily suspend or unpublish the website until the balance is resolved.
4. Cancellation Policy
This is a month-to-month agreement with no long-term lock-in contracts. The Client may cancel at any time by providing 14 days written notice to GDM via email or text.
- Upon cancellation, all monthly billing will cease.
- Upon cancellation, the website will be taken offline and the Client's license to use the GDM-built website is terminated.
- GDM is not obligated to transfer website files, code, or design to the Client or a third-party host.
5. Service Limitations
GDM guarantees 99% uptime for the website via our hosting partners. GDM is not responsible for lost revenue, missed leads, or business interruptions caused by third-party outages, user error, or acts of God.
GDM's total liability to the Client for any claim arising under these Terms shall not exceed the total fees paid by the Client in the 30 days prior to the claim.
6. Client Responsibilities
- Providing accurate business information during onboarding.
- Ensuring all content submitted (photos, copy, logos) is owned by the Client or properly licensed for use.
- Notifying GDM of any required updates to business information (hours, address, services).
7. Privacy
The collection and use of personal information is governed by our Privacy Policy. By agreeing to these Terms, you also agree to our Privacy Policy.
8. Modifications
GDM reserves the right to update these Terms at any time. Continued use of our services after an update constitutes acceptance of the revised Terms. We will notify active clients of material changes via email.
9. Governing Law
These Terms are governed by the laws of the State of California. Any disputes shall be resolved in Los Angeles County, California.
